Please read these Terms & Conditions and Important Disclaimers (“Terms”) carefully before participating in any staking or reward-related program (the “Program”). While we do not control the Program, these Terms constitute a legally binding contract between you and Nillion Association ( “Nillion”) and these Terms govern your access and use to the Program.

Business activities, products, and services that are available or may become available in the future through Nillion’s website or applications (collectively, the “Programs”) may provide rewards, incentives, or yields delivered in the form of NIL Tokens (the “Reward Tokens”). Digital assets are subject to a high degree of risk and volatility, may be illiquid, and may be difficult to value.

Participation in staking involves technical, financial, regulatory, and market risks, including the possible loss of all or part of your staked assets.

1. Participant Acknowledgements and Representations

As a condition precedent to your participation in any Program, you understand, acknowledge, agree, covenant, represent, and warrant to Nillion as follows:

A. Independent Evaluation

You shall conduct your own investigations and evaluations of any digital assets, staking mechanisms, smart contracts, and Reward Tokens associated with the Program and shall not rely on any information provided by Nillion as financial, legal, tax, or investment advice.

B. Legal and Tax Compliance

You shall inform yourself of, and comply with, all legal, regulatory, and tax requirements applicable to you in connection with the acquisition, staking, holding, use, trading, and disposition of Reward Tokens and any staked assets. You are solely responsible for determining any tax liabilities arising from participation in the Program.

C. Sanctions and Restricted Jurisdictions

You represent that you are not:

  1. A resident of, or located in, any jurisdiction subject to trade embargoes or sanctions imposed by the United Nations, OFAC, the European Union, HM Treasury, or any other relevant authority;
  2. Listed on any sanctions, prohibited, or restricted party lists, including the OFAC Specially Designated Nationals (SDN) List; or
  3. Located in, or a citizen or resident of, any jurisdiction where participation in the Program would be illegal or otherwise violate applicable laws

D. Lawful Participation

You represent that your participation in the Program is permitted under the laws of your jurisdiction and that these Terms comply with all laws, rules, and regulations applicable to you.

E. Geographic Restrictions

Notwithstanding anything to the contrary, participation in staking or receipt of Reward Tokens may be prohibited in certain jurisdictions, including but not limited to the United States of America and its territories, Canada, the People’s Republic of China, and Israel.

Nillion reserves the right to restrict or deny access to any Program where participation would violate applicable laws or regulations.
