Blacklight Program - Managed Nodes Terms and Conditions

Please read these Terms & Conditions (“Terms”) carefully before participating in our Managed Nodes Program.

By clicking “I agree”, accessing, connecting to, or otherwise using the Managed Nodes services, whether directly or indirectly through a third-party website, interface, wallet, or application, you agree to be bound by these Managed Nodes Terms of Use (the “Terms”).

These Terms form a legally binding agreement between you, and any organization you represent (“you” or “your”), and Nillion Association (“Nillion,” “we,” “our,” or “us”).

These Terms supplement, and do not replace, our Blacklight Program - Terms & Conditions and Important Disclaimers (“General Terms”) which is incorporated by reference. If there is a conflict between these Terms and the General Terms, these Terms will control with respect to the Managed Nodes services.

We may update these Terms at any time by posting revised Terms or otherwise making them available through our website or services. Any revised Terms become effective when posted. By continuing to use the Managed Nodes services after revised Terms are posted, you agree to the updated Terms. If you do not agree, you must stop using the Managed Nodes services.

1. Definitions

1.1 “Digital Assets” means any digital asset, token, or blockchain-based asset used in connection with the Services.

1.2 “Digital Wallet” means any wallet, account, key management system, software, device, or address used to hold, control, or interact with Digital Assets.

1.3 “Managed Node” means a blockchain node, validator, infrastructure instance, or related software stack that we configure, deploy, maintain, monitor, or operate as part of the Services.

1.4 “Network” means any blockchain, distributed ledger, decentralized network, protocol, smart contract system, or related system supported by the Services.

1.5 “Rewards” means any protocol-level rewards, fees, incentives, distributions, or other amounts that may be generated in connection with operation of a Managed Node or your participation in a Network, solely to the extent actually generated and distributed pursuant to the applicable Network rules or smart contracts.

1.6 “Slashing Penalties” means any penalties, forfeitures, reductions, or similar adverse consequences imposed by a Network, including for downtime, double-signing, misconfiguration, or other validator- or node-related events.

1.7 “Services” means the non-custodial managed node, validator, infrastructure, monitoring, maintenance, beta, and related services we make available for the relevant blockchain network (the “Network”).

2. Services

2.1 The Services. Subject to these Terms, we may provide non-custodial managed node services, including deploying, operating, maintaining, monitoring, upgrading, and supporting Managed Nodes and related infrastructure for the Network. The Services are provided on a strictly non-custodial basis. We do not take custody, possession, or control of your Digital Assets.

You acknowledge and agree that any Rewards associated with the Services are determined, controlled, and distributed by the applicable Network and/or smart contracts, and not by Nillion. Nillion does not hold, receive, escrow, or distribute your Rewards. Your eligibility for, and receipt of, any Rewards depends on Network rules, smart contract logic, and other technical and protocol-level factors.

2.2 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-transferable, non-sublicensable right to access and use the Services for your internal business or personal use in connection with the Network.

2.3 Changes to the Services. We may add, modify, suspend, limit, or discontinue any aspect of the Services at any time for any reason, including to improve the Services, respond to legal or regulatory requirements, address security risks, conduct maintenance, or reflect changes to the Network.
